Terms of Use

Thank you for using this website (the “Site”), which is owned and operated by Mondeum Technologies Ltd. (“MTech,” “we,” “our,” or “us”).
These Terms of Use govern your use of the Site and our services and applications, including CapItAll and Cpro (collectively, the “Services”).
By accessing or using the Site or Services, you agree to these Terms of Use. If you do not agree, you may not use the Site or Services.
Capitalized terms not defined in-line are defined in Definitions below.

1. Your Acceptance of Our Privacy Policy

By agreeing to these Terms of Use, you also agree to our Privacy Policy (as posted on the Site and incorporated by reference).
Please review it carefully. If these Terms of Use conflict with the Privacy Policy, these Terms control.

2. Your Consent to Other Agreements

Certain features or promotions (e.g., contests, job applications, purchases) may be governed by additional terms (“Supplemental Terms”).
If there is a conflict, the Supplemental Terms apply to the specific feature or promotion.

3. Ownership of the Site, the Services, and Content

The Site, Services, and all associated Content are protected by intellectual property and other applicable laws.
You may not copy, reproduce, distribute, modify, display, perform, publish, transmit, or create derivative works from the Content without MTech’s prior written consent.

You are permitted to access and use the Site and Services for personal, educational, and noncommercial use only, provided you:

Do not modify the Content;
Retain all proprietary notices; and
Do not distribute or broadcast the Content publicly.

4. Trademarks

“Mondeum Technologies,” “MTech,” CapItAll, cPro, and all related graphics, icons, and logos are trademarks or trade dress of MTech (the “MTech Marks”).
Other names or logos appearing on the Site are the property of their respective owners.
You may not use any mark without prior written permission from the owner.

5. Responsibility for User-Generated Content

You are solely responsible for User-Generated Content that you post, submit, or share through the Site or Services.
MTech does not control or endorse User-Generated Content and makes no warranties about its accuracy, integrity, or quality.

By posting, you grant MTech and its affiliates a worldwide, perpetual, irrevocable, royalty-free, transferable license (with sublicensing rights) to use, reproduce, distribute, publicly display, modify, and commercialize your content in any media now known or later developed, without notice or compensation.

MTech may, at its discretion, monitor, remove, disclose, or restrict User-Generated Content to comply with applicable law, enforce these Terms, or protect its rights and users.

6. Restrictions on User-Generated Content

You may not post or transmit any content that is:

unlawful, threatening, abusive, defamatory, obscene, vulgar, pornographic, or profane;
invasive of another’s privacy;
infringing upon intellectual property rights;
fraudulent, misleading, or otherwise objectionable;
containing viruses or malicious code;
commercial, promotional, or solicitational; or
impersonating others or misrepresenting your affiliation.

By submitting User-Generated Content, you represent and warrant that you have all necessary rights and that it does not violate applicable law.

7. Copyright Notice

If you believe that content on the Site infringes your copyright, please send a written notice including:

Identification of the copyrighted work(s);
Identification and location of the infringing material;
Your contact information;
A statement of good-faith belief that the use is unauthorized;
A statement under penalty of perjury that you are the copyright owner or authorized agent; and
Your physical or electronic signature.

8. Feedback

All Feedback you provide to MTech becomes MTech’s exclusive property.
You assign all rights, title, and interest in such Feedback to MTech without compensation or attribution.

9. Your Obligations

You agree to provide accurate, current, and complete information and to maintain the security of your account credentials.
You are responsible for all activity under your account.
Immediately notify MTech of any unauthorized access or security breach.

You must not upload viruses, interfere with the Site, or attempt unauthorized access.
MTech reserves all remedies available under law.

10. License Grant

MTech grants you a limited, non-exclusive, non-transferable, revocable license to install and use the CapItAll and Cpro Services.
You may not reverse engineer, decompile, or create derivative works of the Services.

MTech may modify, suspend, or terminate your license at any time without notice.

11. Disclaimers

THE SITE, SERVICES (INCLUDING CAPITALL AND CPRO), AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, MTECH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MTECH DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MTECH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA; LOSS OF PROFITS; OR OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.
IF ANY LIABILITY IS FOUND, THE TOTAL AGGREGATE LIABILITY OF MTECH SHALL NOT EXCEED TEN U.S. DOLLARS (US $10.00).

13. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the British Virgin Islands, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the courts of the British Virgin Islands, and you consent to the jurisdiction of such courts.
MTech may seek injunctive relief in any jurisdiction as needed.

14. Indemnification

You agree to indemnify and hold harmless MTech, its affiliates, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Site or violation of these Terms.

15. Modifications

MTech may modify these Terms at any time.
Updated Terms will be posted on the Site and effective upon posting.
Continued use of the Site or Services constitutes acceptance of the modified Terms.

16. Entire Agreement

These Terms, together with MTech’s Privacy Policy and any Supplemental Terms, constitute the entire agreement between you and MTech and supersede all prior communications or agreements.
